Company law in Ireland is changing, and accountants are often the first adviser a client calls when a filing deadline is missed, a company is struck off or a dispute breaks out among shareholders. The stakes have also risen: late filing can still bring late fees, prosecution of the company or its directors, and involuntary strike-off.

You will come away able to give clients faster, more confident advice, avoid unnecessary audit costs and spot problems before they become expensive.

Alison Walker will cover the following topics during this webinar:

  • Late filing and audit exemption: when Section 22 applies and when a Section 343 application to the District Court or High Court is the better route;
  • Company restoration: how to restore a struck-off company;
  • Struck-off companies and property left in the company's name: how to deal with property left in a dissolved company's name where the trustee cannot be found;
  • Shareholder disputes under Section 212 and directors' duties: the key risks around shareholder disputes, directors' duties and insolvency.

By attending this session you will be able to:

  • explain the new Section 22 audit exemption rules to clients, and identify when a Section 343 court application is needed to protect audit exemption;
  • understand the steps, timeframes and risks involved in restoring a struck-off company;
  • know how to deal with property left in the name of a dissolved company, including the Trustee Act procedure where a trustee cannot be found;
  • recognise the signs of a Section 212 shareholder dispute and advise directors on their duties;
  • understand the main company insolvency options and know when to refer a client for specialist advice.

The session will interest:

  • accountants in practice;
  • company secretarial and compliance professionals;
  • auditors and audit-exempt small practitioners;
  • tax advisers;
  • financial controllers and in-house finance teams;
  • directors and business owners of small and micro companies.
